Governance and conduct
We do not publish the identity of our principals. What follows is the substance behind that: how the company is constituted, how it decides, and the conduct it holds itself to in markets where the standard is not always high.
Structure
African Mining Ventures is a privately held investment holding company incorporated in Belize. It is not authorised or regulated in any jurisdiction to carry on investment business, and it provides no investment services.
How decisions are made
Every investment is assessed against a written framework covering the technical case, the record and alignment of management, the jurisdiction, the company's funding position and the terms on which capital would be committed. Commitments are approved before execution and the reasoning is recorded. Follow-on capital is released only against defined, pre-agreed milestones.
Market conduct
We invest in companies whose securities are publicly traded and we take that obligation seriously. Where a discussion with a company would place us in possession of information that is not public, we decline the discussion or we accept restriction and cease dealing until the information is disclosed or ceases to be material. We do not deal on the basis of information that is not available to the market.
We do not pay for, commission, or participate in promotional coverage of any company in which we hold or may hold an interest, and the presence of paid promotion is a factor that weighs against an investment.
Responsible investment
Environmental, social and governance factors are part of our technical and legal diligence rather than a separate policy. In practice this means we examine how a company has obtained and maintains its licences, the quality of its consultation with landholders and communities, its environmental baseline and rehabilitation obligations, and the transparency of its ownership and payments to government.
We do not invest in artisanal or informal production, and we do not invest where mineral title appears to have been obtained irregularly.
Counterparty and jurisdictional diligence
Before any commitment we identify the beneficial ownership of the counterparty, verify the standing of licences with the relevant authority, and satisfy ourselves as to sanctions and anti-money-laundering position. Where ownership cannot be established or licences cannot be verified, we do not proceed.
